These Terms of Service (“Terms”) are a binding agreement between you and Horsepower Strategies (“HPS,” “we,” “us,” or “our”). They govern your access to sharipheasant.com and related HPS websites, stores, portals, digital resources, and online services, as well as purchases made through them.
Please read these Terms before using the website or purchasing an offering. By using the website, creating an account, checking an acceptance box, submitting an order, or participating in an offering that incorporates these Terms, you agree to them. If you do not agree, do not use the website or purchase the offering.
HPS provides leadership coaching, consulting, assessments, courses, cohorts, workshops, keynotes, events, digital resources, learning-hub access, and related individual and corporate services (collectively, “Offerings”). These Terms apply to general website use and online purchases.
An Offering may have additional terms shown on its sales page, checkout, registration form, order confirmation, proposal, statement of work, participant agreement, or other signed contract (“Offering Terms”). If there is a conflict, the documents control in this order:
The Privacy Policy is incorporated by reference for information-handling practices, but it does not create payment or service obligations that conflict with these Terms or applicable Offering Terms.
You must be at least 18 years old and legally able to enter a contract to purchase an Offering. If you use the website or purchase on behalf of a company or another person, you represent that you have authority to bind that organization or complete the transaction. A corporate purchaser is responsible for ensuring that each participant receives and accepts any participant-specific terms, notices, and releases required for the Offering.
HPS services are designed for adult professional and leadership-development audiences. Participation by a minor requires HPS’s advance written approval and any legally required parent or guardian consent.
You may use the website and your account only for lawful, authorized purposes. You are responsible for the accuracy of information you provide, protecting your credentials, and activity under your account. Notify us promptly if you suspect unauthorized access.
You may not:
We may suspend or restrict access when reasonably necessary to protect participants, systems, intellectual property, or the integrity of an Offering; investigate suspected violations; comply with law; or address nonpayment. When practical, we will provide notice and an opportunity to cure.
The applicable sales page or Offering Terms describe included sessions, assessments, reports, materials, recordings, support, access periods, and other deliverables. Dates, instructors, facilitators, venues, curriculum, platforms, or delivery methods may change when reasonably necessary. HPS may substitute personnel or substantially equivalent content without materially reducing the Offering’s overall value.
You are responsible for attendance, preparation, reliable internet and compatible equipment for online delivery, travel and lodging unless expressly included, and timely completion of forms or assessments. Missed sessions, late arrival, failure to participate, or failure to use available access does not automatically create a refund right.
If HPS cancels an Offering or cannot provide a material portion of it, HPS may reschedule, provide a substantially equivalent substitute, issue a credit, or refund the amount reasonably attributable to the undelivered portion. This is subject to non-waivable rights under applicable law and any more favorable Offering Terms.
Prices are stated in U.S. dollars unless otherwise indicated. You agree to pay the price, taxes, fees, and payment schedule presented before purchase. You authorize HPS and its payment processor to charge the selected payment method according to the order. HPS generally receives transaction status and limited billing information rather than full payment-card credentials.
We may correct obvious pricing or description errors before fulfilling an order. If we cannot accept or fulfill an order, we may cancel it and refund amounts paid for the unfulfilled order. Chargebacks do not cancel contractual payment obligations; contact us first so we can investigate a billing concern.
A fixed installment plan divides a stated total price into a defined number of payments. It is not an automatically renewing subscription. Unless the checkout clearly states otherwise, completing or ceasing participation does not cancel installments that are part of the agreed total price, subject to the applicable refund policy and non-waivable law.
The publicly advertised 90-Day Leadership Development Experience is presented as a fixed total investment of $1,497: a $497 initial payment followed by two monthly payments of $500. The plan ends after those two monthly payments and does not continue as an open-ended monthly subscription. The phrase “one month free trial” on a platform-generated price display does not change the stated fixed total or create an additional recurring term. The checkout should display the payment dates and obtain authorization before the order is completed.
If a scheduled installment fails, HPS may retry the payment as disclosed by the processor, contact you for an updated method, pause access, or pursue amounts properly due. HPS will not add an undisclosed recurring term.
Some Offerings, such as a membership or learning-hub plan, may be sold as a recurring subscription. A charge is recurring only when the sales page and checkout clearly state the renewal frequency, amount or method for determining it, trial or promotional period, minimum commitment if any, and cancellation method before you authorize payment.
By affirmatively accepting a recurring offer, you authorize charges at the disclosed interval until cancellation. A subscription purchased online may be canceled through the immediate online method identified at checkout or in your account; you may also email [email protected]. Cancellation stops future renewals after the current paid period and does not ordinarily create a retroactive refund, except as stated in the Offering Terms or required by law. We will send acknowledgments, reminders, price-change notices, and cancellation confirmations where required.
If an Offering includes a trial that converts to a paid or recurring plan, the checkout must clearly state any amount charged during the trial, when the trial ends, the amount and frequency of later charges, and how to cancel before a charge occurs.

To request cancellation or address a billing issue, use the account cancellation method made available for the Offering or email [email protected]. Include your name, order email, and Offering. We will provide confirmation after processing the request. Nothing in this section limits cancellation or refund rights that cannot lawfully be waived.
Assessments, coaching, training, and related materials are educational and developmental tools. They are not medical, psychological, mental-health, legal, tax, investment, or financial diagnosis, treatment, or advice. You remain responsible for your choices, employment and personnel decisions, and consultation with appropriately licensed professionals.
Results vary. HPS does not guarantee promotion, employment, revenue, retention, productivity, team performance, conflict resolution, certification, or any other specific outcome. References to research, behavioral science, validated instruments, or past results describe methodologies or experiences and are not promises of an individual result.
Assessment reports and interpretations are subject to the assessment provider’s licenses and restrictions. They should not be used as the sole basis for hiring, firing, promotion, discipline, or another high-impact decision. Corporate clients are responsible for lawful, fair, and appropriately trained use of participant information and results.
Participants must engage respectfully, follow reasonable safety and facilitation instructions, avoid harassment or discrimination, and refrain from disrupting the experience. HPS may remove a participant whose conduct creates a safety concern, materially disrupts the Offering, violates another person’s rights, or breaches these Terms. Removal for serious misconduct does not require a refund except where law provides otherwise.
Private coaching communications will be handled with reasonable care, subject to legal obligations, safety concerns, service providers, and any corporate engagement terms. Group programs are not private one-to-one settings. You agree not to disclose another participant’s confidential, personal, assessment, or business information without permission. HPS cannot guarantee that other participants will comply, so do not share information you are unwilling to have repeated.
HPS may record sessions for participant replay, training delivery, quality, or internal records when advance notice is provided. You may not record, livestream, photograph, transcribe, or use an automated note-taking tool during an Offering without permission. Access to an HPS recording is personal or limited to the purchasing organization as stated in the Offering Terms and may expire.
Public marketing use of your identifiable name, image, voice, testimonial, employer, logo, or private contribution requires separate permission or another lawful basis. You may withdraw permission for future uses as described in the applicable release, but withdrawal does not require recall of materials already lawfully produced or distributed.
The website, curriculum, assessments to the extent owned or licensed by HPS, reports, frameworks, slides, videos, recordings, downloads, trademarks, graphics, and other HPS materials are owned by HPS or its licensors and protected by intellectual-property law. No ownership transfers to you.
After full payment, HPS grants you a limited, revocable, nonexclusive, nontransferable license to use purchased materials for your own personal professional development. A corporate purchaser may permit enrolled employees to use materials internally only to the extent stated in the applicable agreement. You may not reproduce, distribute, publish, sell, sublicense, create competing products from, train artificial-intelligence systems on, or remove notices from HPS or licensed materials without written permission.
You retain ownership of content you submit. You grant HPS a limited license to host, copy, process, and use that content as reasonably necessary to provide the requested service, administer the relationship, and comply with law. Feedback may be used to improve HPS services without identifying you. Testimonials and identifiable promotional content are governed by separate permission as described above.
The website and Offerings may use or link to third-party payment, scheduling, video, assessment, learning, hosting, analytics, social, or other services. Third-party terms and privacy policies may apply. HPS is not responsible for an independent third party’s content, availability, or acts, but this does not limit responsibility that cannot legally be disclaimed. A third-party outage or change may require a reasonable substitute or schedule adjustment.
Our collection and use of personal information are described in the HPS Privacy Policy. Offering-specific notices may provide additional detail for assessments, employers, events, recordings, or other activities.
You may stop using the website at any time. Account, subscription, and purchase termination is governed by the applicable payment and cancellation sections. HPS may suspend or terminate access for material breach, nonpayment, unlawful or unsafe conduct, misuse of intellectual property, security risk, or discontinuation of a service. When reasonable, HPS will provide notice and an opportunity to cure.
Termination does not eliminate payment obligations already incurred. Provisions that by their nature should survive do survive, including payment obligations, ownership and licenses, confidentiality, disclaimers, liability limitations, dispute terms, and general provisions.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE WEBSITE AND OFFERINGS ARE PROVIDED “AS IS” AND “AS AVAILABLE.” HPS DISCLAIMS IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. HPS DOES NOT WARRANT THAT THE WEBSITE WILL BE UNINTERRUPTED OR ERROR-FREE OR THAT AN OFFERING WILL PRODUCE A PARTICULAR RESULT. THESE DISCLAIMERS DO NOT EXCLUDE WARRANTIES OR RIGHTS THAT CANNOT LAWFULLY BE DISCLAIMED.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, HPS AND ITS OWNERS, EMPLOYEES, CONTRACTORS, FACILITATORS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES; LOST PROFITS, REVENUE, OPPORTUNITY, GOODWILL, OR DATA; OR THE COST OF SUBSTITUTE SERVICES ARISING FROM OR RELATED TO THE WEBSITE, AN OFFERING, OR THESE TERMS.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, HPS’S TOTAL LIABILITY ARISING FROM OR RELATED TO A CLAIM WILL NOT EXCEED THE AMOUNT YOU PAID HPS FOR THE OFFERING GIVING RISE TO THE CLAIM DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY. THIS LIMIT DOES NOT APPLY TO LIABILITY THAT CANNOT BE LIMITED, INCLUDING LIABILITY FOR FRAUD, WILLFUL MISCONDUCT, OR PERSONAL INJURY CAUSED BY NEGLIGENCE TO THE EXTENT APPLICABLE LAW SO PROVIDES.
To the extent permitted by law, you agree to defend, indemnify, and hold harmless HPS and its owners, employees, and contractors from third-party claims, damages, and reasonable costs arising from your unlawful conduct, infringement of another person’s rights, unauthorized use or distribution of materials, or material breach of these Terms. This obligation does not require you to indemnify HPS for HPS’s own negligence, willful misconduct, or violation of law.
These Terms are governed by the laws of the State of Nevada, without regard to conflict-of-law principles, except that mandatory consumer protections of your home jurisdiction continue to apply when they cannot be waived.
Before filing a lawsuit, the party raising a dispute must send a written notice describing the issue and requested resolution and allow 30 days for good-faith informal resolution. Send notices to [email protected] with “Legal Notice” in the subject line. This requirement does not prevent either party from seeking urgent injunctive relief, protecting intellectual property or safety, preserving a limitations period, or using an eligible small-claims procedure.
Unless mandatory law requires otherwise, any court proceeding must be brought in a state or federal court with jurisdiction in Washoe County, Nevada, and each party consents to that venue. These Terms do not require arbitration and do not waive any non-waivable right.
We may update these Terms prospectively to reflect changes in services, operations, or law. The updated version will state a new last-updated date. We will provide additional notice of material changes when required. Changes do not retroactively alter a completed purchase or signed agreement unless you agree or law permits. Continued use of the website after the effective date of updated website-use terms constitutes acceptance of those updated terms.
If a provision is unenforceable, it will be enforced to the maximum lawful extent and the remainder will remain effective. Failure to enforce a provision is not a waiver. You may not assign these Terms or transfer an Offering without HPS’s written consent. HPS may assign these Terms in connection with a merger, reorganization, financing, sale of assets, or transfer of the relevant business, subject to applicable law.
HPS is not liable for delay or failure caused by events beyond reasonable control, including natural disaster, severe weather, public-health event, labor disruption, government action, venue closure, utility or internet failure, platform outage, or facilitator emergency. HPS will use reasonable efforts to communicate and provide a rescheduled, substituted, credited, or refunded solution appropriate to the affected Offering.
These Terms and applicable Offering Terms constitute the entire agreement concerning their subject matter and replace prior website terms on that subject. Headings are for convenience. “Including” means “including without limitation.” Electronic records and signatures may be used to form and evidence the agreement.
